About the Course:
To successfully negotiate an acquisition you must be familiar with the deal documents. The monetary consideration that you have agreed upon in an acquisition may be irrelevant if you fail to come to agreement on the terms and conditions of the Purchase and Sales agreement.
Going into a transaction without a thorough understanding of the basics of the deal documents makes you as vulnerable as sheep about to be shorn. Without an understanding of terms provided in non-disclosure agreements, letters of intent, no-shop provisions, non-solicitation clauses and termination fees, you will not understand the leverage that you have in the negotiations.
Without an understanding of issues such as escrows and post-closing adjustments you will not be able to calculate your final transaction values. Without familiarity with issues such as representations, warranties, and indemnities, you will not understand your liabilities.
Attendees will benefit from a course leader who brings more than 20 years of experience in negotiating acquisitions and who can share war stories and discuss best practices.
